Terms governing use of the Nudge IV mobile application and related services.

 Overview

These Terms & Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “Patient,” “you”) and Nudgeworld, Inc., a Delaware corporation (“Nudge,” “Company,” “we,” “us,” or “our”), governing your access to and use of the Nudge IV mobile application, website, and related services (collectively, the “Platform”).

BY ACCESSING, REGISTERING FOR, OR USING THE PLATFORM, YOU AGREE TO BE LEGALLY BOUND BY THESE TERMS.
IF YOU DO NOT AGREE, DO NOT USE THE PLATFORM.

1. PLATFORM STATUS – TECHNOLOGY SERVICES ONLY

Nudge operates solely as a technology infrastructure platform that facilitates connections between users and independently licensed healthcare professionals (“Clinicians”).

Nudge:

  • Does not practice medicine

  • Does not provide healthcare services

  • Does not supervise clinical judgment

  • Does not control treatment decisions

  • Does not establish provider–patient relationships

  • Does not guarantee availability of services

All clinical services are independently provided by licensed Clinicians.

2. NO PROVIDER–PATIENT RELATIONSHIP WITH NUDGE

Your use of the Platform does not create a provider–patient relationship between you and Nudge.

Any provider–patient relationship exists solely between you and the treating Clinician.

3. LIMITED LICENSE – LICENSED, NOT SOLD

The Platform is licensed, not sold.

Subject to your compliance with these Terms, Nudge grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Platform solely for lawful personal use.

All rights not expressly granted are reserved.

4. ELIGIBILITY & ACCOUNT RESPONSIBILITY

You must be at least 18 years old.

You agree to:

  • Provide accurate and complete medical information

  • Provide accurate payment information

  • Maintain confidentiality of login credentials

  • Accept responsibility for all activity under your account

Nudge may suspend or terminate access for fraud, misuse, safety concerns, or legal compliance.

5. AI ASSISTANT (WELBY)

The Platform may include automated features or AI-generated suggestions (“Welby”).

You acknowledge:

  • AI suggestions are informational only

  • They are not medical advice

  • They are not diagnosis or treatment

  • They may be incomplete or inaccurate

  • They do not replace consultation with a licensed provider

Clinical decisions are made exclusively by licensed Clinicians.

6. MEDICAL DISCLAIMER & ASSUMPTION OF RISK

IV hydration and injectable therapies involve inherent risks, including but not limited to:

  • Infection

  • Bruising

  • Allergic reactions

  • Anaphylaxis

  • Fluid overload

  • Cardiovascular complications

  • Dizziness

  • Fainting

By booking services, you voluntarily assume all associated risks.

Services are elective wellness treatments and not emergency medical care.

7. NO EMERGENCY SERVICES

The Platform does not provide emergency services.

If you experience a medical emergency, call 911 immediately.

8. BOOKING, PAYMENT & AUTHORIZATION

By booking services, you authorize Nudge to:

  • Place authorization holds

  • Capture payment

  • Apply cancellation fees

  • Charge full service amount for no-shows

  • Correct billing errors

  • Process refunds or chargebacks

Payments are processed by third-party providers.

Nudge is not a financial institution and does not control payment networks.

9. CANCELLATION POLICY

Free cancellation:

  • Before Clinician assignment

  • Within five (5) minutes of assignment

After assignment (before travel):
$25 fee

After Clinician is en route:
$75 fee

No-show (10 minutes after arrival):
Full service charged

10. ACCEPTABLE USE & SECURITY

You agree not to:

  • Misrepresent medical information

  • Harass Clinicians

  • Circumvent Platform payment systems

  • Use bots or scraping tools

  • Reverse engineer Platform systems

  • Interfere with security features

Nudge may investigate violations and pursue legal remedies.

11. THIRD-PARTY SERVICES

The Platform may integrate with third-party services (payments, maps, messaging, identity verification, lab services).

Nudge is not responsible for:

  • Availability

  • Accuracy

  • Security

  • Acts or omissions of third parties

Your use of third-party services is at your own risk.

12. PLATFORM AVAILABILITY

THE PLATFORM IS PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS.”

Nudge does not guarantee:

  • Continuous operation

  • Error-free performance

  • Availability of specific Clinicians

  • Availability in specific locations

Nudge may modify, suspend, or discontinue features at any time.

13. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUDGE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

  • Merchantability

  • Fitness for a particular purpose

  • Non-infringement

  • Accuracy

  • Earnings expectations

No oral or written statement creates any warranty.

14. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Nudge shall not be liable for:

  • Medical malpractice

  • Clinical negligence

  • Misdiagnosis

  • Personal injury

  • Death

  • Emotional distress

  • Lost income

  • Data loss

  • Indirect or consequential damages

Nudge’s total aggregate liability shall not exceed the greater of:

  • The amount paid for the specific service giving rise to the claim; or

  • $100

This applies under any theory of liability.

15. INDEMNIFICATION

You agree to indemnify and hold harmless Nudge from claims arising from:

  • False medical disclosures

  • Misuse of the Platform

  • Violation of these Terms

  • Disputes between you and a Clinician

This obligation survives termination.

16. ARBITRATION & CLASS WAIVER

Informal Resolution

You agree to provide written notice and allow 30 days for informal resolution.

Binding Arbitration

All disputes shall be resolved through final and binding individual arbitration administered by the American Arbitration Association (AAA).

Delegation

The arbitrator shall determine issues of arbitrability.

Class Waiver

You waive the right to participate in class, collective, or representative actions.

Venue

Clark County, Nevada.

Small claims court permitted where applicable.

17. INTELLECTUAL PROPERTY & RESTRICTED USE

The Platform contains proprietary and trade secret information including:

  • Matching systems

  • Pricing models

  • Surge logic

  • Operational workflows

You may not:

  • Reverse engineer

  • Replicate

  • Develop competing systems

  • Create derivative works

Nudge may seek injunctive relief without bond.

18. FEEDBACK LICENSE

You grant Nudge a perpetual, irrevocable, royalty-free license to use any feedback you provide without compensation.

19. ELECTRONIC COMMUNICATIONS

You consent to receive notices electronically, including email and in-app notifications.

Electronic notices satisfy legal notice requirements.

20. TERMINATION

Nudge may suspend or terminate access for:

  • Policy violations

  • Fraud

  • Safety concerns

  • Legal risk

Surviving provisions include:

  • Arbitration

  • Liability limitations

  • Indemnification

  • IP protections

21. GOVERNING LAW

These Terms are governed by Nevada law, except where mandatory consumer protection laws apply.

22. ENTIRE AGREEMENT

These Terms constitute the entire agreement between you and Nudge.
